Global Head of Board Engagement, Nasdaq

Byron Loflin is Global Head of Board Engagement at Nasdaq, where he leads board assessments and boardroom training for Nasdaq Governance Solutions. He is the founder and former CEO of the Center for Board Excellence (CBE) – acquired by Nasdaq in 2019 – and is architect of CBE’s unique board assessment and advisory platform. Byron is recognized in the governance community for developing unique products that address board dynamics, corporate culture, accountability and performance. His experience and expertise are in the design and administration of assessments and advising board chairs, boards, committees, directors and executive management in a full range of corporate governance matters including strategic alignment, best practices, board refreshment, diversity, structures and corporate planning. He and his team have performed several hundred third-party board, committee, peer and CEO self-assessments for organizations of all structures and sizes.

Byron is a graduate of Harvard Business School (OPM) and James Madison University (BA). He is a member of the Society for Corporate Governance, Institute of Directors (UK), and the National Association of Corporate Directors.

David L. Motley, BSME, MBA

CEO and President, MCAPS, LLC

Industry specific knowledge in diversified manufacturing, life sciences, real estate development, financial services, venture capital and consulting services. Have led strategy formulation for more than 50 individual businesses ranging in size from zero revenue to over $2B. Line responsibilities include VP, GM roles, VP Corporate Strategy, EVP Marketing Sales and Strategy, Global VP Sales and Marketing, Director of Corporate Investments, Manager of Engineering and Plant Operations. Profit and loss responsibility includes a wide variety of business circumstances including start-up, early stage, restructuring, accelerating growth and sustaining performance.

David’s corporate career spanned 30 years and his last two roles were VP, GM roles with Respironics (acquired by Philips) and Covidien (acquired by Medtronic).

David left corporate America in 2010 and co-founded 3 enterprises: The BlueTree Venture Fund (www.bluetreeventurefund.com), DLM-WCM (a real estate development company) and, MCAPS, LLC (a professional services company focused on Managed Services, Staff Augmentation and/or Consulting). In addition, David has played a leadership role for Headwaters SC (www.headwaterssc.com), acquired by EY in 2017, a private company addressing strategy, restructuring governance models and, establishing boards for entities ranging in size from $50mm to over $2B.

His current board participation includes: First National Bank (NASDAQ: FNB), Koppers, Inc. (NYSE: KOP), Armada Supply Chain Solutions (Lead Director), ALung, Inc. (Board Observer. Dialysis-like alternative to mechanical ventilation), Forest Devices (novel diagnostic for stroke patients), and several non-profit entities.


In 2017, David founded the African American Directors Forum-Pittsburgh. AADF-Pittsburgh seeks to increase representation for African Americans in the board rooms, C-Suites and supplier bases of publicly traded companies.
