The elephant in the room: “A director’s duty is to discuss all agenda items and sometimes go beyond the agenda. The director must assess special situations or evaluate extraordinary circumstances. There are often unaddressed topics that the group implicitly knows but no one wants to explicitly name. Establishing an anonymous suggestion box for issues such as board composition, term limits or the performance of the CEO can help address what is ‘not spoken.’ Courage, transparency, and communication are paramount to respond to uncomfortable topics and get resolutions. This is critical for a company’s growth strategy, especially in privately held companies. Collaboration produces the best results.”
