Why governance matters: “Whether a company is public or private, corporate governance matters and adds value. Rigor in the boardroom drives efficiency, transparency and a positive reputation, and improves shareholder confidence and trust. Progressive private companies are effectively using committees to accomplish rigor in the board’s work. Driving in-depth analysis into the committees allows for more informed and well-considered recommendations to the full board. Further, it ensures complex issues receive the attention they deserve from board members with relevant expertise. Leveraging committees in this way provides more room for strategic discussions during board meetings and helps to align the board practices with corporate strategy and organizational goals.”
