In this webinar, Stout Managing Directors Tim Cummins and T.J. Hope will be joined by board director Michael Day to lead participants through a case study of a company facing the decisions of whether to sell one of its operating divisions. The presentation will focus on an assessment of an unsolicited offer to purchase a non-core business unit of the company, as well as the impact of the potential transaction on the company's remaining (core) business.

Specifically, the presenters will discuss how to:

  • Assess the offer price for the business unit by analyzing the unit's financial performance and relevant market pricing metrics
  • Evaluate the financial impact of the proposed sale on the remaining operations of the company
  • Develop insightful and probing questions for the management team
  • Formulate conclusions and determine appropriate solutions

Tim Cummins

Managing Director, Transactions Opinions Practice Leader, Stout

Tim Cummins is a Managing Director and leads the firm's Transaction Opinions practice. He has significant experience in the provision of valuation and litigation advisory consulting services to Fortune 500 companies, middle market corporations, private equity and hedge funds, law firms, accounting firms, and financial institutions.

Tim has served as an expert in valuation disputes in depositions, at trial, in tax tribunals and in arbitration. He has lectured and presented numerous continuing education seminars on the subjects of valuation and transaction advisory services. He has also published articles on the use of solvency opinions and the valuation of professional sports franchises.

Prior to joining the firm, Tim was a Director in the Financial Advisory Services Group of PricewaterhouseCoopers, LLP in Chicago. During his tenure at PricewaterhouseCoopers LLP and at Price Waterhouse LLP, he planned, performed, and supervised valuation and consulting engagements for various purposes in a diverse range of industries. Prior to joining Price Waterhouse LLP, Tim was an Institutional Trust Officer at Harris Bank in Chicago.

T.J. Hope

Managing Director, Dallas Office Leader, Stout

T. J. Hope is a Managing Director in the Valuation Advisory group. He has more than 15 years of experience providing a broad range of valuation advice spanning a range of industries and for numerous purposes.

In addition, T. J. has completed numerous transaction opinions including fairness opinions and solvency opinions for mergers and acquisitions, recapitalizations, related-party transactions, and other types of transactions.

T.J.’s professional experience also includes time he spent at Blue Point Capital Partners, a middle market private equity fund, where he gained significant principal investing experience. His responsibilities included financial modeling; capital raising for acquisitions; legal documentation of transactions; business, market and industry due diligence on target companies; and the support of portfolio company executive management in acquisitions, refinancings, and strategic planning.

Michael Day

Board Member, Audit Committee Chair, Somos. Inc.

Michael Day joined the Board of Directors in June 2017. Michael serves as the Chair of the Audit Committee and as a member of the Compensation Committee. Michael has extensive experience as both a Board and executive-level leader in corporate finance and accounting. Most recently, Michael served as the Chief Financial Officer of CSAA Insurance Group.

Prior to CSAA, he was the CFO of AAA of Northern California Nevada Utah, formerly combined with CSAA until 2011, and held senior finance positions at Africast Global Media, MTV Networks and The Walt Disney Company. While with CSAA, Michael served on the board of AAA Life Insurance Company, and served in the roles of board chairman and board vice chairman and as chair of the Finance and the Nominating and Governance Committees. Michael current serves on the boards and chairs the Audit Committees of Topa Insurance Group and Recology, Inc.

David Shaw

Publishing Director, Directors & Boards magazine

David Shaw is the publishing director of Directors & Boards and its sister publication, Family Business. With more than 30 years of experience in business-to-business and consumer media markets, he has served as an editor, publisher, publishing director, group publisher and group vice president of a variety of publications, trade shows, conferences and websites.

Prior to founding GRID Media, David served as senior vice president for Phillips Business Information Inc., where he oversaw nearly 100 discrete media properties, and helped build the business from $35 million to more than $100 million in annual revenues. He is a frequent author and speaker on issues related to business-to-business media, multi-generational family businesses and private and public company governance. He is married, with two grown children, one serving in the Navy and the other in law school.
