The essentials of directorship. “An effective private company director counts as key deliverables fiduciary responsibility to all stakeholders, ensuring that the right CEO is in place, development of well-thought-out succession plans for the CEO and other key leaders (as well as for the board), and provision of honest, constructive and balanced counsel to management, along with active involvement in the development and implementation of the company’s strategy and risk management. Effective directors come prepared and always meet commitments. Good mottos to remember are ‘We are here to question your answers’ and ‘Challenge them when things are going well, support them when things are challenging.’”
